By accessing our website, executing a Service Level Agreement (SLA), submitting a project brief, or making payment for any services, you agree to be legally bound by these Terms of Use and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of our site and services.

Square Digitals provides enterprise web design and development, proactive website maintenance and security, search engine optimization (SEO), performance pay-per-click advertising, and related digital advisory services to Nigerian and international corporate clients. Detailed project deliverables, scope boundaries, and delivery timelines are formalized in individual Client Proposals or Statements of Work (SOW).

The Client is responsible for providing necessary brand assets, copywriting, credentials, and approvals in a timely manner. Delays in feedback exceeding fourteen (14) business days may adjust scheduled deployment dates. The Client warrants that all materials provided do not infringe upon any third-party intellectual property rights.

All fees are quoted in Nigerian Naira (NGN) unless explicitly billed in foreign currency (USD, GBP). Standard web design engagements require an initial deposit upon project kick-off with the remainder due upon staged milestones or final staging approval. Recurring maintenance care plans are billed monthly in advance via authorized Paystack recurring billing or verified corporate bank transfer.

Upon final settlement of all invoiced fees, full intellectual property and ownership rights of the bespoke front-end code, client content, and graphic designs transfer completely to the Client. Open-source libraries, WordPress core files, third-party plugins, and proprietary Square Digitals reusable frameworks remain licensed under their respective terms.

For active maintenance clients, Square Digitals guarantees 99.9% monitored uptime and under two-hour response times for critical production outages during business hours. Exclusions apply for upstream hosting failure beyond our control, DNS registrar downtime, or modifications made by unauthorized third parties.

To the fullest extent permitted by the laws of the Federal Republic of Nigeria, Square Digitals shall not be liable for indirect, incidental, or consequential damages resulting from website downtime, search engine algorithm updates, or third-party service provider interruptions. Total aggregate liability is strictly limited to fees paid during the preceding three (3) months.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith amicable negotiation within thirty (30) days, failing which it shall be referred to arbitration in Lagos, Nigeria under the Arbitration and Mediation Act 2023.
